1.Acceptance of Terms

By accessing or using SimLeaguesPro (“SimLeaguesPro,” “we,” “us,” or “our”) at www.simleaguespro.com, you (“User,” “you,” or “your”) agree to these Terms of Use (“Terms”), our Privacy Policy, and any additional guidelines or rules posted on the Service. These Terms form a legally binding agreement between you and SimLeaguesPro.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and all references to “you” will include that organization.

We suggest you save or print a copy of these Terms for your records. The most current version is always available at https://www.simleaguespro.com/terms.

2.Description of Service

SimLeaguesPro is a web-based platform that provides league commissioners and team owners with tools to create, manage, and participate in simulated fantasy sports leagues powered by third-party simulation games (such as Out of the Park Baseball and similar titles). The Service includes, but is not limited to:

• League creation and administration dashboards for commissioners.
• Team-ownership interfaces for draft management, roster moves, and game-day tracking.
• News feeds, league standings, statistics, and historical records.
• Integration with third-party platforms such as Discord for notifications and community features.
• Optional cloud-based storage add-ons for sim data exports and media files (paid feature).

SimLeaguesPro reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that affect paid subscribers.

3.Eligibility & Account Registration

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent’s or legal guardian’s permission to use the Service and that they have reviewed these Terms.

To access most features you must register for an account. When registering you agree to:

• Provide accurate, current, and complete information.
• Keep your password confidential and not share it with others.
• Notify us promptly at support@simleaguespro.com of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

SimLeaguesPro reserves the right to refuse registration or suspend any account at its discretion.

4.Subscription Plans, Billing & Payments

SimLeaguesPro offers both a free tier and paid subscription plans. Paid plans unlock additional features as described on the Pricing page.

Billing. By subscribing to a paid plan you agree to pay your selected payment method on a recurring basis (monthly) until you cancel. All amounts are in U.S. dollars unless otherwise stated.

Cancellation. You may cancel your subscription at any time through your account settings. Upon cancellation your plan will remain active until the end of the current billing period; no partial refunds are issued for unused time, except where required by applicable law.

Price changes. We may change subscription pricing with at least 30 days’ written notice to the email address on your account. Continued use after the notice period constitutes acceptance of the new price.

Taxes. Prices are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase.

5.Permitted Use & Prohibited Conduct

You agree to use the Service only for lawful purposes consistent with these Terms. You must not:

• Use the Service to harass, intimidate, threaten, or harm any person.
• Upload, transmit, or distribute content that is unlawful, defamatory, obscene, or infringes any third-party intellectual property rights.
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks connected to the Service.
• Use automated scripts, bots, scrapers, or crawlers to access the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or otherwise commercially exploit the Service without our express written authorization.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Engage in any activity that violates applicable local, state, national, or international laws or regulations.

We reserve the right to remove content and/or suspend or terminate accounts that violate these rules without prior notice.

6.User-Generated Content & License Grant

You retain ownership of content you submit to the Service (“User Content”), including league news posts, profile images, and custom league data. By submitting User Content you grant SimLeaguesPro a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, and distribute that content solely as necessary to operate and improve the Service.

You represent and warrant that: (a) you own or have the necessary rights to the User Content you submit; (b) your User Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) your User Content complies with these Terms and all applicable laws.

SimLeaguesPro may, but is not obligated to, monitor, review, or remove User Content at its sole discretion.

7.Intellectual Property Rights

All content, code, design, graphics, logos, and other materials constituting the Service (excluding User Content) are owned by or licensed to SimLeaguesPro and are protected by U.S. and international copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of SimLeaguesPro’s intellectual property to you.

Third-party trademarks, game names (including Out of the Park Baseball®), and logos are the property of their respective owners. SimLeaguesPro is not affiliated with, endorsed by, or sponsored by any third-party game publisher unless expressly stated.

8.Third-Party Services & Game Data

The Service may integrate with or link to third-party services (including game publishers, cloud-storage providers, and communication tools such as Discord). These integrations are provided as a convenience; SimLeaguesPro does not control, and is not responsible for, the content, policies, or practices of any third-party service.

Simulation game data imported into the Service originates from software you own and operate. You represent that you hold a valid license to the applicable game software and that importing its output data does not violate that software’s end-user license agreement.

Your use of any third-party service is subject to the terms and privacy policies of that service, and SimLeaguesPro disclaims all liability arising from your use of third-party services.

9.Privacy & Data Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your information as described in the Privacy Policy.

We implement reasonable technical and organizational measures to protect your data. However, no method of transmission over the Internet or method of electronic storage is 100% secure. We cannot guarantee absolute security and are not responsible for unauthorized access beyond our reasonable control.

10.Disclaimers & Limitation of Liability

As-Is Basis. The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Availability. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We may perform maintenance that temporarily restricts access, and will endeavor to give advance notice where practicable.

Limitation of Liability. To the maximum extent permitted by applicable law, SimLeaguesPro and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. Our aggregate liability to you for all claims arising out of or related to the Service shall not exceed the greater of (a) the amount you paid to SimLeaguesPro in the twelve (12) months preceding the claim or (b) fifty U.S. dollars ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

11.Indemnification

You agree to defend, indemnify, and hold harmless SimLeaguesPro and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your User Content caused damage to a third party.

12.Term, Suspension & Termination

These Terms are effective from the date you first use the Service and continue until terminated. Either party may terminate at any time: you by closing your account, and SimLeaguesPro by disabling access to your account.

We may suspend or terminate your access immediately, without prior notice or liability, if we believe you have violated these Terms or any applicable law, or if your use poses a risk to the Service or other users.

Upon termination, all licenses granted to you under these Terms immediately cease. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) will remain in effect.

13.Dispute Resolution & Governing Law

Before filing any formal legal action, we encourage you to contact us at support@simleaguespro.com so we can try to resolve the dispute informally.

These Terms are governed by and construed in accordance with the laws of the State of Connecticut and the laws of the United States applicable therein, without regard to its conflict-of-law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Bridgeport, Connecticut for the resolution of any dispute arising out of or related to these Terms or the Service.

Waiver of Class Actions. To the extent permitted by law, you waive any right to participate in a class-action lawsuit or class-wide arbitration against SimLeaguesPro.

14.Changes to These Terms

We may update these Terms from time to time. When we make material changes we will post the revised Terms on this page and update the “Last updated” date above. For significant changes we will make a reasonable effort to notify registered users (e.g., via email or an in-app notice) at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.

15.General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms you accept for specific features, constitute the entire agreement between you and SimLeaguesPro regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No Waiver. SimLeaguesPro’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign these Terms without restriction.
